Fondo pensione Priamo: selezione gestori finanziari

Il Consiglio di Amministrazione del Fondo Priamo - Fondo Pensione Complementare a Capitalizzazione per i Lavoratori Addetti ai Servizi di Trasporto Pubblico e per i Lavoratori dei Settori Affini – iscritto all’albo dei Fondi Pensione Negoziali con il numero 139, con un patrimonio di circa 1,4 Miliardi di €, suddiviso in tre comparti finanziari, riunitosi in data 10 marzo 2017, nel rispetto delle indicazioni statutarie e delle deliberazioni preliminari assunte ai sensi dell’art. 3 della Deliberazione della Commissione di Vigilanza sui Fondi Pensione (COVIP) del 9 dicembre 1999, ha deliberato di procedere, avvalendosi del supporto del proprio Advisor, Sebastiaan Schrikker della Link Institutional Advisory Sagl, all’individuazione dei soggetti ai quali affidare la gestione finanziaria sui seguenti mandati:

1. FIXED INCOME: emissioni obbligazionarie;  taglio istituzionale.

1. CORPORATE BONDS: emissioni obbligazionarie societarie; taglio istituzionale.

1. GESTIONE GARANTITA: emissioni obbligazionarie /emissioni azionarie globali; taglio istituzionale.

I gestori interessati, dovranno accettare che le convenzioni sottoscritte siano regolate esclusivamente dalla legge italiana e che, per ogni eventuale controversia, sia competente il Foro di Milano. Inoltre, essi dovranno essere idonei a soddisfare i requisiti di cui all’art.6 del D.Lgs.252/2005: tale condizione dovrà essere stata acquisita al momento della stipula della convenzione. Non saranno ammesse deleghe di gestione a terzi esterni al gruppo di appartenenza.

La valutazione dei questionari da scaricarsi dal sito www.fondopriamo.it condurrà alla creazione di una short list. I gestori che entreranno nella short list saranno singolarmente auditi dal Fondo Priamo e dal suo Advisor, per approfondimenti ulteriori rispetto ai questionari.

La risposta al Bando dovrà pervenire al Fondo Priamo, Via Marcantonio Colonna, 7, 00192 Roma, all’attenzione del Direttore Generale Responsabile Alessandra Galieni, entro le ore 12.00 (CET) del giorno 28/04/2017, in un plico sigillato, con dicitura esterna “RISPOSTA AL BANDO FIXED INCOME” / “RISPOSTA AL BANDO CORPORATE BONDS” / “RISPOSTA AL BANDO GESTIONE GARANTITA”, contenente al suo interno due buste separate, sigillate e siglate.

La prima busta chiusa e siglata sul sigillo, con dicitura esterna chiaramente evidenziata “INVESTMENT MANAGER SEARCH”, deve contenere due copie cartacee dei questionari, siglate in ogni pagina e sottoscritte, e due copie su due distinti supporti informatici (USB o CD), facendo attenzione, previa esclusione dal bando, a non inserire alcun riferimento all’offerta economica.

La Società candidata, una volta ultimata la compilazione del Questionario, dovrà:

• presentare una dichiarazione attestante la veridicità e l’esaustività dei dati esposti, sottoscritta dal legale rappresentante, anche nel caso dei soggetti delegati;
• presentare una autocertificazione attestante il possesso di tutti i requisiti di legge, sottoscritta dal legale rappresentante, anche nel caso dei soggetti delegati;
• presentare una dichiarazione per il trattamento dei dati personali forniti ai sensi del d.lgs 196/2003;

La seconda busta chiusa e siglata sul sigillo, recante chiaramente come dicitura esterna "OFFERTA ECONOMICA", deve contenere l'offerta economica per il mandato in assegnazione, da presentare compilando debitamente la scheda relativa alle commissioni di gestione e dovrà, obbligatoriamente, essere formulata come una commissione omnicomprensiva fissa, espressa in percentuale commisurata al patrimonio in gestione, con eventuale scalettatura (come presente nella scheda).

L’offerta economica, previa esclusione dal bando, dovrà essere presentata in busta chiusa, separata dalle altre.

Il Fondo si riserva il diritto di non avviare nuovi mandati qualora, a suo insindacabile giudizio, le risposte alla presente richiesta pubblica non fossero ritenute soddisfacenti.

Il presente annuncio costituisce invito ad offrire e non offerta al pubblico ex art. 1336 c.c.. Il presente annuncio e la ricezione dell’eventuale offerta non comportano per il Fondo alcun obbligo o impegno ad affidare il predetto servizio nei confronti degli eventuali offerenti e, per loro, alcun diritto a qualsiasi titolo.

The Board of Directors of Fondo Priamo – Fondo Pensione Complementare a Capitalizzazione per i Lavoratori Addetti ai Servizi di Trasporto Pubblico e per i Lavoratori dei Settori Affini – Pension Fund registration number 139, with a capital of about € 1.4 billions, allocated among three financial portfolios, assembled on the 10^th of March, complying with the statutory directions and the preliminary decisions taken under article 3 of the Deliberation of the Pension Fund Supervisory Committee (COVIP) of the 9^th of December 1999, has decided to launch an investment manager search, supported by its Advisor, Mr. Sebastiaan Schrikker of Link Institutional Advisory, concerning the following mandates:

1. FIXED INCOME: fixed income; institutional size

1. CORPORATE BONDS: corporate bonds; institutional size

1. GUARANTEED PENSION SCHEME: fixed income / global equities; institutional size

Interested investment managers shall accept that the agreement entered between the parties should be regulated exclusively by the Italian Law, with jurisdiction of the court of Milan. Furthermore, they shall be suitable for satisfying the provisions of art. 6 of the Italian Legislative Decree 252/2005: the above mentioned condition shall have been acquired at the moment the agreement is being stipulated. No investment management delegation to third parties external to the group shall be allowed.

The assessment of the questionnaires, which can be downloaded from the website www.fondopriamo.it, shall lead to the short-listing of the applicants. Those included in the short-list shall be interviewed individually by Priamo and its Advisor, regarding further details not included in the above mentioned questionnaires.

The entire applicant’s documentation shall be addressed to Fondo Priamo, Via Marcantonio Colonna, 7, 00192 Rome - Italy, to the attention of Mrs. Alessandra Galieni, the Director of Priamo. The sealed parcel, bearing the clearly visible writing:  “RISPOSTA AL BANDO FIXED INCOME” / “RISPOSTA AL BANDO CORPORATE BONDS” / “RISPOSTA AL BANDO GESTIONE GARANTITA”, must be submitted no later than 12:00 (CET) on the 28th of April 2017.

Within each sealed parcel, two sealed envelopes should be present. The first envelope, signed on the seal and bearing the clearly visible writing: “INVESTMENT MANAGER SEARCH”, shall contain two paper copies and two electronic copies (on two separate USB devices or CDs) of the duly signed questionnaires. Please be aware that no mention of the management fees should be made within these documents, penalty being the exclusion from the selection process.

Once completed the questionnaire, the candidate shall:

• submit a declaration confirming the veracity and the integrity of the data provided, signed by the legal representative, also in the case of delegated parties;
• submit  a self-certification attesting that the candidate holds all legal requirements, signed by the legal representative, also in the case of delegated parties;
• submit a declaration for the treatment of the personal data provided under the law 196/2003;

The second envelope, signed on the seal and bearing the clearly visible writing: “OFFERTA ECONOMICA”, shall contain the management fee proposals for the mandates object of the offer consisting in the correctly completed management fee sheet. The participants are required to formulate a fixed, all-encompassing rate expressed as a percentage of the assets under management, with the possibility of filling in the range brackets as present on the provided sheet.

The management fee proposals must be provided in a separate sealed envelope penalty being the exclusion from the selection process.

The Fund reserves the right not to subscribe to any new mandate if, at its own unquestionable judgment, the results of the present search shall not be considered satisfying.

The present notice constitutes a request for proposal and not a public offering ex art. 1336 c.c.. The present notice and the receipt of a potential offer do not constitute for the Fund any obligation nor commitment to assign the mentioned service to potential candidates and, for the candidates, any right to entitlements whatsoever.
