Fondo pensione Priamo: selezione gestori finanziari
Il Consiglio di Amministrazione del Fondo Priamo - Fondo Pensione Complementare a Capitalizzazione per i Lavoratori Addetti ai Servizi di Trasporto Pubblico e per i Lavoratori dei Settori Affini – iscritto all’Albo COVIP dei Fondi Pensione Negoziali con il numero 139, con un patrimonio di circa 2 Miliardi di Euro, suddiviso in tre comparti finanziari, riunitosi in data 15 dicembre 2021, nel rispetto delle indicazioni statutarie e delle deliberazioni preliminari assunte ai sensi dell’art. 3 della Deliberazione della Commissione di Vigilanza sui Fondi Pensione (COVIP) del 9 dicembre 1999, ha deliberato di procedere, avvalendosi del supporto del proprio Advisor, Link Institutional Advisory Sagl, all’individuazione del soggetto a cui affidare la gestione finanziaria dei seguenti mandati specialistici di stile attivo:
a. 1 (uno) Azionario Paneuropeo SMID Caps:
Titoli azionari di società a bassa capitalizzazione dell’area Paneuropea;
Benchmark: 100% MSCI Europe SMD Cap EUR Hedged NTR;
Durata: 5 anni
Di importo complessivo stimato in circa 120 milioni di Euro.
b. 1 (uno) Azionario USA:
Azioni quotate o quotande su mercati regolamentati degli Stati Uniti d’America;
Benchmark: 100% S&P 500 Net Return Euro Hedged;
Durata: 4 anni
Di importo complessivo stimato in circa 125 milioni di Euro.
c. 1 (uno) Obbligazioni Convertibili Paneuropee:
Obbligazioni convertibili Paneuropee quotate o quotande (titoli di capitale non ammessi);
Benchmark: 100% Refinitiv Convertible Europe Hdg (EUR);
Durata: 3 anni
Di importo complessivo stimato in circa 42 milioni di Euro.
1. Requisiti di partecipazione
Possono presentare la propria candidatura i soggetti (di seguito anche “i Candidati” o, al singolare, “il Candidato”) che, oltre a soddisfare i requisiti di cui all’art. 6, comma 1, del D.Lgs. n. 252/2005, sono in possesso, alla data di pubblicazione del presente bando, dei seguenti requisiti, a pena di esclusione:
- mezzi di terzi in gestione, ovvero attività a copertura delle riserve tecniche dei Rami Vita, non inferiori a 3 miliardi di Euro;
- track record della strategia proposta pari ad almeno 5 anni;
- i gestori interessati, dovranno accettare che le convenzioni sottoscritte siano regolate esclusivamente dalla legge italiana e che, per ogni eventuale controversia, sia competente il Foro di Milano;
- non saranno ammesse deleghe di gestione a terzi esterni al gruppo di appartenenza.
2. Documentazione da inviare al Fondo per la partecipazione alla selezione
I soggetti interessati possono richiedere entro le ore 12:00 (CET) del 14/02/2022 all’indirizzo e-mail funzione.finanza@fondopriamo.it, (PEC) funzione.finanza@pec.fondopriamo.it e admin@link-institutional-advisory.ch lo schema di Questionario Tecnico e lo schema di Offerta Economica.
La Documentazione da inviare al Fondo, a pena di esclusione, dovrà essere sottoscritta dal legale rappresentante del Candidato o da altro soggetto a ciò legittimato e dovrà includere i seguenti documenti:
a. Autocertificazione attestante il possesso dei requisiti richiesti per la presentazione della candidatura.
b. Questionario Tecnico compilato in ogni sua parte, in formato .xlsx con testo selezionabile ed abilitato alla copia.
c. Eventuali allegati in formato .pdf al Questionario Tecnico.
d. Offerta Economica.
e. Dichiarazione di veridicità ed esaustività dei dati esposti.
f. Dichiarazione di consenso al trattamento dei dati personali ai sensi del Regolamento UE 2016/679 (“GDPR”) per le finalità di cui alla presente selezione.
La Documentazione, di cui ai punti a; b; c; e; f, dovrà essere inviata per via telematica all’indirizzo PEC: funzione.finanza@pec.fondopriamo.it entro e non oltre le ore 17:00 (CET) del giorno 14/02/2022, pena l’esclusione.
La busta contente l’Offerta Economica (d) recante chiaramente come dicitura esterna "OFFERTA ECONOMICA (seguito dal nome del mandato) – FONDO PRIAMO", deve contenere l'offerta economica per il mandato in assegnazione, da presentare compilando debitamente la scheda relativa alle commissioni di gestione e dovrà, obbligatoriamente, essere formulata come una commissione omnicomprensiva fissa, espressa in percentuale commisurata al patrimonio in gestione, e dovrà pervenire al Fondo Priamo, Via Marcantonio Colonna, 7, 00192 Roma, all’attenzione del Direttore Generale Alessandra Galieni, entro le ore 17:00 (CET) del giorno 14/02/2022, pena l’esclusione, in un plico sigillato.
Eventuali domande sulla compilazione del Questionario Tecnico possono essere sottoposte al Fondo esclusivamente in forma scritta entro e non oltre le ore 12:00 (CET) del 28/01/2022 all’indirizzo di posta elettronica: funzione.finanza@fondopriamo.it, (PEC) funzione.finanza@pec.fondopriamo.it e admin@link-institutional-advisory.ch recando oggetto: “Selezione gestore (seguito dal nome del bando) – quesito”.
3. Modalità di svolgimento del processo di selezione
Si passerà, quindi, a una seconda fase selettiva che prevede la richiesta di incontri diretti con i Candidati in short list da svolgersi in lingua italiana, con lo scopo di acquisire ulteriori elementi e/o chiarimenti. La valutazione ottenuta in questa fase integra quella ottenuta nella prima fase. In questa occasione verrà presa anche in considerazione l’Offerta Economica, secondo quanto previsto dall’art. 7, comma 3 della Deliberazione COVIP del 9 dicembre 1999.
Ad insindacabile giudizio del Consiglio d’Amministrazione del Fondo verrà, quindi, individuato il soggetto aggiudicatario, previa specifica delibera e comunicazione della decisione al Candidato stesso.
In caso di rinuncia dell’incarico da parte del Candidato vincitore, ovvero nel caso di mancato accordo con lo stesso circa la mancata conseguente firma della Convenzione di Gestione, il CdA del Fondo si riserva la facoltà di riconsiderare le migliori candidature precedentemente escluse.
Il Fondo si riserva il diritto di non avviare nuovi mandati qualora, a suo insindacabile giudizio, le risposte alla presente richiesta pubblica non fossero ritenute soddisfacenti.
Con il soggetto aggiudicatario dell’incarico il Fondo procederà, quindi alla stipula della specifica Convenzione, che regolerà i rapporti tra il Fondo ed il Gestore. Tale Convenzione sarà conforme alle indicazioni COVIP, sarà assoggettata alla legge italiana e redatta in lingua italiana. La Convenzione disciplinerà gli obblighi di rendicontazione del Gestore in ordine alle scelte di gestione e all’andamento del mandato.

Priamo Pension Fund: financial manager selection
The Board of Directors of Fondo Priamo – Fondo Pensione Complementare a Capitalizzazione per i Lavoratori Addetti ai Servizi di Trasporto Pubblico e per i Lavoratori dei Settori Affini – Pension Fund registration number 139, with assets of about 2 Billion Euros, divided into three financial compartments, met on December 15th, 2021, in compliance with the statutory indications and the preliminary resolutions taken pursuant to art. 3 of the Resolution of the Supervisory Commission on Pension Funds (COVIP) of the 9th of December 1999, resolved to proceed, with the support of its Advisor, Link Institutional Advisory Sagl, to identify the subject to whom to entrust the financial management of the following specialized, actively managed mandates:
a. 1 (one) Pan-European Small Mid Cap Equities:
Pan-European Small and Mid Cap Equites;
Benchmark: 100% MSCI Europe SMD Cap EUR Hedged NTR;
Estimated AUM of 120 million Euros.
Duration: 5 years
b. 1 (one) US Equities:
US Equites;
Benchmark: 100% S&P 500 Net Return Euro Hedged;
Estimated AUM of 125 million Euros.
Duration: 4 years
c. 1 (one) Pan-European Convertible Bonds:
Pan-European Convertible Bonds (Equity non admissable);
Benchmark: 100% Refinitiv Convertible Europe Hdg (EUR);
Estimated AUM of 42 million Euros.
Duration: 3 years
1. Participation Requirements
The subjects that may present their candidature (hereinafter also “the Candidates” or, singular, “the Candidate”), in addition to meeting the requirements of article 6, paragraph 1 of Legislative Decree no. 252/2005, are in possession, on the date of publication of this request for proposal, under penalty of exclusion, the following elements:
- third party AUM, i.e. assets covering the technical reserves of Rami Vita, not less than 3 billion euros;
- track record of the proposed strategy of at least 5 years;
- the interested managers must accept that the agreements signed are governed exclusively by Italian law and that, for any dispute, the Court of Milan is competent;
- delegated management to third parties outside the Candidate’s group will not be admitted.
2. Documentation to be sent to the Fund for participation in the selection
Interested parties may request, no later than 12:00 (CET) on the 14/02/2022, at the following e-mail addresses: funzione.finanza@fondopriamo.it, (PEC) funzione.finanza@pec.fondopriamo.it and admin@link-institutional-advisory.ch the Questionnaire and the Financial Offer documents.
The documentation to be sent to the Fund, under penalty of exclusion, must be signed by the Candidate’s legal representative, or by other legitimized subject, and must include the following documents:
a. Self-declaratification certifying the possession of the requisites required for the submission of the application.
b. Questionnaire completed in all its parts, in .xlsx format with selectable and copy enabled text.
c. Any attachments of the Questionnaire in .pdf format.
d. Financial proposal.
e. Declaration of truthfulness and completeness of the data provided.
f. declaration of consent to the processing of personal data pursuant to EU Regulation 2016/679 (“GDPR”) for the purposes of the present Search.
The Documentation, referred to in points a; b; c; e; f, must be sent electronically to the following PEC address: funzione.finanza@pec.fondopriamo.it no later than 17:00 (CET) on the 14/02/2022, under penalty of exclusion.
The envelope containing the Financial Proposal (d) clearly bearing the external wording "OFFERTA ECONOMICA (followed by the mandate name) – FONDO PRIAMO", must contain the financial proposal for the mandate, to be presented by duly filling in the form relating to the management commissions and must, compulsorily, be formulated as a fixed all-inclusive commission, expressed as a percentage of the assets under management, and must reach the Priamo Fund, Via Marcantonio Colonna, 7, 00192 Rome, to the attention of the General Manager Alessandra Galieni, by 17:00 (CET) on the 14/02/2022, under penalty of exclusion, in a sealed envelope.
Any questions regarding the completion of the Questionnaire can be submitted to the Fund exclusively in written form no later than 12:00 (CET) on the 28/01/2022 to the following e-mail address: funzione.finanza@fondopriamo.it, (PEC) funzione.finanza@pec.fondopriamo.it and admin@link-institutional-advisory.ch bearing the subject: "Selezione gestore (followed by the mandate name) – quesito ".
The Board of Directors of the Fund, on the basis of the evaluations of the information contained in the Technical Documentation received from the Candidates deemed suitable according to the Participation Requirements, will draw up a first short-list that identifies the most qualified subjects who will be invited to participate in a subsequent audition. Pursuant to Article 6, paragraph 6, of Legislative Decree no. 252/2005, these subjects must not be linked, directly or indirectly, to control relationships pursuant to art. 2359 of the Civil Code. Should the aforementioned situation occur, the Board of Directors of the Fund will exclude from the short list the subject or subjects with the lowest valuation. The request for participation to the audition will be sent only to the Candidates who have passed the first selection phase.
The second selective stage foresees direct meetings with the Candidates on the short list to be held in Italian language, with the aim of acquiring further elements and / or clarifications. The evaluation obtained in this phase complements the one obtained in the first phase. On this occasion, the Financial Proposal will also be taken into consideration, in accordance with the provisions of article 7, paragraph 3 of THE COVIP Resolution of the 9th of December 1999.
At the unquestionable judgment of the Board of Directors of the Fund a successful Candidate will be identified, subject to specific resolution and communication of the decision to the Candidate himself.
In the event of renunciation of the winning Candidate, i.e. in the event of failure to agree on and failure to sign the Management Agreement, the Board of Directors of the Fund reserves the right to reconsider the best candidates previously excluded.
The Fund reserves the right not to initiate new mandates if, at its own unquestionable judgment, the responses to this public request are not considered satisfactory.
With the successful Candidate, to whom the management is assigned, the Fund will then proceed to the stipulation a specific Agreement, which will regulate the relations between the Fund and the Manager. This Agreement will comply with the COVIP indications, will be subject to Italian law and drafted in Italian language. The Agreement will govern the Reporting obligations of the Manager with regard to its management choices and the progress of the mandate.
